Terms of Service

The agreement between you (or the organisation you represent) and Ozmosoft for using the platform — plain-English, and the same for every customer, everywhere.

1. Agreement to these Terms

These Terms of Service ("Terms") govern access to and use of Ozmosoft, a multi-tenant business-management platform providing accounting, projects, sales, purchasing, inventory, people/HR, finance & auditing, and related modules (the "Service"), operated by Ozmosoft ("Ozmosoft", "we", "us").

By creating an account, signing up for a trial, or otherwise using the Service, you (an individual, or the organisation you represent, "Customer", "you") agree to be bound by these Terms. If you are entering into these Terms on behalf of an organisation, you represent that you have authority to bind that organisation.

2. The Service

Ozmosoft is delivered as software-as-a-service across a set of modules ("solutions") that a Customer may subscribe to individually (à-la-carte) or as part of a bundled package. Each Customer’s data is logically isolated from every other Customer’s data.

We may add, change, or retire features over time. We will not materially reduce the core functionality of a paid subscription during its committed term without reasonable notice.

3. Accounts & responsibilities

You are responsible for maintaining the confidentiality of account credentials and for all activity that occurs under your account, including actions taken by users you invite ("Members").

You are responsible for assigning appropriate roles and permissions to Members within your organisation. Role-based access control is provided as a tool for you to configure; you control who inside your organisation can see or change what.

You must notify us promptly of any unauthorised use of your account or any other security breach you become aware of.

4. Subscriptions, trials & billing

New organisations receive a trial period (14 days by default, unless a different period is displayed at signup) during which the Service is provided free of charge, subject to the usage limits of the selected plan.

After the trial ends, continued access requires an active paid subscription. Pricing is package-based (a fixed bundle of modules) or à-la-carte (billed per selected module, typically per user per month), as selected by you at signup or later in Billing settings.

Subscriptions renew automatically for successive billing periods unless cancelled before the renewal date. You can cancel at any time from your account’s billing settings; cancellation takes effect at the end of the current billing period unless stated otherwise.

Fees are exclusive of applicable taxes unless stated otherwise. You are responsible for taxes associated with your purchase, other than taxes based on our net income.

Failure to pay may result in restricted access to the Service after a grace period, followed by suspension, in accordance with the retention terms below.

5. Acceptable use

You agree not to use the Service to: violate any applicable law; infringe the intellectual property or privacy rights of others; transmit malware or attempt to gain unauthorised access to the Service or other tenants’ data; interfere with or disrupt the integrity or performance of the Service; or resell or sublicense the Service without our written consent.

We may suspend access for activity that we reasonably believe violates this section, poses a security risk, or exposes us or other Customers to liability, and will make reasonable efforts to notify you.

6. Data ownership & export

As between you and Ozmosoft, you own all data, records, and content you input into the Service ("Customer Data"). We claim no ownership rights over Customer Data.

You may export your Customer Data at any time while your subscription is active, using the Service’s built-in export tools. On request, we will also provide a reasonable export of your Customer Data for a limited period after account closure, as described in the retention section of our Privacy Policy.

We use Customer Data only to provide, maintain, and support the Service for you, and as otherwise described in our Privacy Policy. We do not sell Customer Data.

7. Availability & disclaimer

We aim to keep the Service available and performant, and we perform regular backups, but the Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.

Scheduled maintenance and unplanned outages may occur from time to time; we will make reasonable efforts to communicate planned maintenance windows in advance.

8. Limitation of liability

To the maximum extent permitted by applicable law, Ozmosoft will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from or related to your use of the Service.

To the maximum extent permitted by applicable law, our total aggregate liability arising out of or relating to these Terms or the Service will not exceed the amount you paid us for the Service in the twelve (12) months preceding the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited or excluded under applicable law.

9. Termination

You may cancel your subscription at any time from Billing settings. We may suspend or terminate your access for material breach of these Terms, non-payment beyond an applicable grace period, or as required by law.

On termination, your organisation enters a data-retention window (see our Privacy Policy for current retention periods) before data is permanently deleted. You remain entitled to export your Customer Data during that window.

10. Changes to these Terms

We may update these Terms from time to time to reflect changes to the Service or applicable law. We will post the updated Terms with a new "Last updated" date and, for material changes, provide reasonable notice (such as an in-app notice or email) before the changes take effect.

Continued use of the Service after the effective date of an update constitutes acceptance of the updated Terms.

11. Governing law

These Terms are governed by the laws of the jurisdiction in which Ozmosoft is registered, without regard to conflict-of-laws principles, except where applicable local law requires otherwise.
