Partner Contract

Who this contract is with

This Partner Contract is between Ozmosoft Pty Ltd ("Ozmosoft") and the practice named in your partner sign-up ("you"). The person who accepts it confirms they may bind the practice.

Eligibility and verification

You must hold and keep the registrations your country asks for (for example a tax agent or professional body number). Ozmosoft checks them against public registers and may ask for documents at any time.

Until your practice is verified you can use your own practice organisation within the limits of the Practice plan trial. Client access and rebates start after approval.

Security

Every person who acts for your practice must sign in with an authenticator app. You may not share sign-ins. You must remove staff who leave.

Client data

You may open a client organisation only while that client has linked you, and only for the work the client asked for. You must keep client data confidential and follow the privacy law of the client's country.

Rebates

Ozmosoft pays you a rebate on subscriptions paid by clients you bring to Ozmosoft, at the rate of your program tier shown in the Partner module. Rates, tiers and payment timing are set in the program and can change with 30 days' notice. A rebate is reversed if the client's payment is refunded or charged back.

Rebates are paid as recipient-created tax invoices where your country allows it. You must keep your payout and tax details up to date.

Promotion

You must describe Ozmosoft accurately, never promise features that do not exist, and never offer discounts outside the codes Ozmosoft gives you.

Ending this contract

Either side may end this contract with 30 days' written notice. Ozmosoft may suspend access at once for a security or legal breach. Earned, unpaid rebates are settled within 30 days of the end date.

Changes

Ozmosoft may publish a new version of this contract. You will be asked to accept it before you continue to act for your practice.

Liability

Neither side is liable for indirect or consequential loss arising from this contract, except where the law does not allow that limit.

Governing law and whole agreement

This contract is governed by the laws of New South Wales, Australia. It, together with the program tiers in force, is the whole agreement about the partner program.
